Supervisory Board

  • Supervising the functioning of and compliance with the Model, the rules of conduct, the prevention protocols and the procedures envisaged by the Model
  • Carry out periodic inspection and control activities, of an ongoing and surprise nature
  • Develop and promote the constant updating of the Model
  • Promote initiatives for the dissemination of knowledge and understanding of the Model, of the contents of Legislative Decree no. 231/2001
  • Verify the preparation of an effective internal communication system to allow the transmission of relevant information for the purposes of Legislative Decree no. 231/2001 guaranteeing the protection and confidentiality of the whistleblower
  • Provide all employees and members of the corporate bodies with clarifications regarding the meaning and application of the provisions contained in the Model and the correct interpretation / application of the Model itself, the control standards, the related implementation procedures and the Company's Code of Ethics
  • Promptly report to the administrative body, for the appropriate measures, the violations ascertained of the Model that could lead to the onset of liability on the part of the Company and propose any sanctions
  • Any violation or suspected violation of Model 231 and the Code of Ethics can be reported to the Supervisory Body.

GOVERNANCE

In order to strengthen and improve its control and corporate governance system, Ferroli SpA has launched a project aimed at adapting the risk prevention and management system inspired by both the provisions of Legislative Decree 231/2001
